    DEPARTMENT OVERVIEW

    UC Legal - Office of General Counsel (OGC) delivers ethical, timely, efficient and high quality legal services to the University of California ten campuses, five medical centers, and the Lawrence Berkeley National Laboratory, as well as to the Board of Regents, the President, the Chancellors and other officers of the University. Its services include prosecuting and defending litigation, drafting and negotiating agreements, providing advice, counsel and interpretation of laws, regulations and policies, and assisting with development of effective compliance and risk mitigation strategies to facilitate the University's complex operations.

    POSITION SUMMARY

    Reporting to the Managing Counsel, Health Affairs, Privacy & Data Protection Law, the Principal Counsel - Health Regulatory provides primary legal support to the University's medical centers and health sciences schools on complex and high impact healthcare regulatory analysis. Work includes advising and counseling on health care regulatory and policy issues including health care reimbursement, operations, privacy, hospital licensing or accreditation, medical staff, peer review, tax exemption, federally qualified health centers, clinical laboratories, pharmacies, controlled substances, Medicare/Medicaid enrollment, sexual harassment/sexual violence in academic medical centers, graduate medical education, religious liberty/establishment issues, managed care and Veteran's Affairs facility affiliations. The position also advises UC Health, Office of the President, Faculty Senate, and campus stakeholders on a broad range of healthcare legal issues. The Principal Counsel - Health Regulatory should be a strategic thinker, an approachable adviser, and a strong relationship builder who thrives in a challenging environment and is clearly aligned with the University's and UC Legal's values.     Responsibilities

    80% Core Legal and Client Service

    1. Supports the UC Legal Health Affairs, Privacy & Data Protection Law Group's coordination efforts to facilitate more efficient, effective, and consistent delivery of health law services system-wide.
    2. Provides substantial expertise within the University in the Health Law field, particularly in health care regulatory and policy issues including but not limited to health care reimbursement, operations, privacy, hospital licensing or accreditation, medical staff, peer review, tax exemption, federally qualified health centers, clinical laboratories, pharmacies, controlled substances, Medicare/Medicaid enrollment, sexual harassment/sexual violence in academic medical centers, graduate medical education, religious liberty/establishment issues, managed care and Veteran’s Affairs facility affiliations.
    3. Under general direction handles independently a full range of legal matters and projects, to include those of high complexity and of substantial importance and impact. Regularly counsels and advises senior management in the UC health enterprise, often on issues that can have significance across the system.
    4. Provides high-level strategic advice to University business units, including practical advice and alternative solutions to business concerns.
    5. Provides actionable and practical advice based on sophisticated interpretation of facts and law in areas of ambiguity.
    6. Identifies and frames systemic legal issues, and formulates and proposes strategic approaches to address them which can have broad impact across the UC system.
    7. Participates on external committees to provide input on issues that affect state and/or federal policy.
    8. Keeps informed on changing legislation and case law developments affecting overall operations of the University as they relate to health care regulatory matters.
    9. Provides training as well as client advisories and tools related to such developments.
    10. Directly negotiates matters on behalf of The Regents.
    11. Acts as a liaison with outside counsel.
    12. May provide strategic support and expertise on litigation matters in areas of expertise.

    10% Collaboration and Communication

    1. Recognizes strategic needs of organization and proactively builds relationships with appropriate stakeholders to ensure successful outcomes.
    2. Establishes effective relationships with key internal and external constituencies.
    3. Mentors law clerks, fellows, and other learners.
    4. Functions as lead and technical resource and provides functional advice, training and/or guidance to clients or to less-experienced attorneys.
    5. Develops objectives and ensures service according to established priorities.
    6. Ensures accurate record keeping in compliance with UC Legal data quality protocols.

    5% Collaborates to achieve solutions on the most complex legal issues in area of specialty, providing strategic direction with high level stakeholders such as the medical center CEOs, and senior administrators at Office of the President and/or across UC locations.

    5% Supports OGC's commitment to diversity by mentoring law clerks, fellows, and other learners, participating in other career pathway or mentoring programs, and other diversity initiatives in outreach, recruitment and retention.

    Experience

    Minimum of 8 years of progressively responsible experience advising clients on high-level and complex health care regulatory matters required.

    Required Qualifications

    1. Demonstrated specialized and in-depth experience in at least one of the following health care regulatory areas: reimbursement, operations, and/or medical staff.
    2. Experience gained in a law firm, or in-house counsel for an academic institution, corporation or other entity.
    3. Significant experience advising executives on sophisticated and often highly complex health care regulatory matters with minimal preparation time.
    4. Requires health law expertise including a sufficient understanding of applicable laws, industry practices, and enforcement trends to identify, assess, mitigate and resolve legal risks associated with Medical Center and Medical School activities, or a willingness to develop such expertise.
    5. In depth abilities in collaboration, facilitation, and strategic and creative thinking.
    6. In-depth understanding of highly complex legal issues and ability to foresee implications of different approaches or actions, even when ambiguous or hidden.
    7. Advanced interpersonal communication skills, including proven ability to actively listen, negotiate, persuade and educate.
    8. Skills to gain trust and build credibility with a broad group of colleagues and clients, to include senior leaders.
    9. Advanced written communication skills and ability to create and deliver effective materials and/or presentations appropriate to a particular audience.

    Preferred Qualifications

    1. Expertise in complex and high impact health care regulatory matters for hospitals and health sciences school clients. Expertise in such matters for managed care clients, physician group clients or device or drug manufacturer clients is also a positive consideration.
    2. Prior experience at government agency responsible for regulating hospitals and/or other providers.

    Travel Requirements
    5% Occasional travel for business meetings, the vast majority of which occur in the state of California.


    SPECIAL CONDITIONS

    The person hired will be required to reside within California and report to work on-site at UC’s Office of the President (UCOP) located in Oakland, CA on a regular basis.  Current policy requires that a new employee work on-site at least two days a week on Tuesdays and Wednesdays (“anchor days”). In exceptional circumstances, approved by the General Counsel, candidates residing in or willing to relocate to California may be considered for a fully remote work arrangement.

    POSITION SUMMARY

    The University of California cumulatively raises over $3 billion annually in private support.  Charitable giving is a mission-critical component of revenue to the campuses and has grown significantly in recent years in both volume and in complexity. This position provides substantial expertise in the legal matters of tax-exempt organizations, nonprofits, and charitable giving, including: formation, governance, operation, and termination of tax-exempt and nonprofit organizations; charitable trust law; structuring mergers, asset acquisitions, and affiliations; joint ventures among tax-exempt organizations, nonprofits, and for-profits; private inurement and private benefit rules; unrelated business taxable income and UBIT analysis; lobbying and political activity; complex charitable gifts; endowment; tax reporting; compliance. Knowledge of the following is advantageous: partnership tax, planned giving, and/or estate planning.

    Responsibilities require substantial knowledge of and the ability to apply federal tax law governing tax-exempt organizations, state nonprofit corporation law and the bylaws, policies and guidelines of The Regents to transact a variety of matters. Responsibilities also include drafting, reviewing and revising a variety of legal instruments involving the University's interests, including charitable gift agreements and planned giving instruments.     THE COMMISSION ON JUDICIAL PERFORMANCE

    The Commission on Judicial Performance is the independent state agency responsible for investigating complaints of judicial misconduct and for disciplining state court judges.

    The Commission on Judicial Performance strives for work-life balance and includes substantial vacation and holiday time.     RESPONSIBILITIES

    This attorney position is responsible for investigating allegations of judicial misconduct and preparing substantive reports to the commission. The attorney is required to conduct careful and complete interviews of potential witnesses; review court files and documents; obtain and preserve other evidence; thoroughly research pertinent law and analyze evidence; and draft clear, concise, and well-organized memoranda.

    MINIMUM QUALIFICATIONS

    California State Bar membership and a minimum of four years of post-bar experience; outstanding analytical, writing, and research skills; broad and practical knowledge of the law; substantial criminal, civil, and/or appellate experience; mature and sound judgment; ability to set priorities, and handle cases efficiently; work independently, but with close supervision of final work product; and maintain confidentiality and exercise discretion.

    Opportunity

    CDF’s Orange County office has an opportunity for attorneys with between 2-7 years of experience in employment defense litigation to join a tight-knit group of dedicated and diverse professionals. Attorneys will work on litigation and non-litigation matters for a wide range of clients, from small businesses to Fortune 500 corporations across many industries.

    Depending upon experience, the attorney should expect to be involved in all aspects of our practice, including pre-complaint investigation, case analysis, strategy drafting and responding to discovery, taking and defending depositions, motions and other court appearances, administrative matters before the DLSE, NLRB, DFEH, OSHA, and other agencies, union negotiations and relations, assisting in arbitration and trials, mediations, counseling, and advice work, client development and recruitment, and legal research and writing on a wide variety of areas. Litigation will generally consist of single-plaintiff EEO litigation and PAGA and class action wage and hour litigation.

    Qualifications

    • 2-7 years of experience in labor and employment law defense litigation in California.
    • Class action experience is preferable.
    • Litigation experience in California is preferable.

    DEPARTMENT OVERVIEW

    The UC Legal Office of General Counsel (OGC) delivers ethical, timely, efficient and high quality legal services to the University of California ten campuses, five medical centers, and the Lawrence Berkeley National Laboratory, as well as to the Board of Regents, the President, the Chancellors and other officers of the University. Its services include prosecuting and defending litigation, drafting and negotiating agreements, providing advice, counsel and interpretation of laws, regulations and policies, and assisting with development of effective compliance and risk mitigation strategies to facilitate the University's complex operations.     POSITION SUMMARY

    The Principal Counsel of Intellectual Property is a recognized specialist in copyright and trademark law and also has substantial experience in negotiating and drafting technology transfer agreements, patent licenses, and other intellectual property-related transactions. This position is responsible for handling and advising on complex transactions. The responsibilities include:

    1. legal consultation and advisory work regarding: (a) intellectual property-related matters with a focus on copyright and trademark rights throughout the University of California system; (b) complex domestic and international transactional matters involving multiple forms of intellectual property, including copyrights, trademarks, and patents; (c) intellectual property litigation; (d) intellectual property prosecution to obtain intellectual property protection; and (e) other intellectual property-related matters and disputes;
    2. reviewing and negotiating intellectual property license agreements, research and development collaborations, software license agreements, and other agreements involving intellectual property rights;
    3. acting as liaison with outside legal firms and/or representing the University in intellectual property litigations and before administrative agencies; and
    4. advising on complex intellectual property matters and interpreting the law in areas of substantial ambiguity in all areas of the University's academic, research, health, and innovation enterprises. By practicing the Office of General Counsel's established Values for Principles of Community, the Principal Counsel demonstrates an active and engaged commitment to supporting and advancing diversity.

    Responsibilities

    80% Client Service:

    1. Understands that UC is a large, complex organization with many internal and external clients.
    2. Collaborates with colleagues at the Office of the President or campus/medical center locations to develop and modify practices and procedures to conform with changing legal requirements.
    3. Establishes effective relationships with key internal and external constituencies. Recognizes strategic needs of organization and proactively builds relationships with appropriate stakeholders to ensure successful outcomes.
    4. Determines whether a program or activity impedes or advances the University's goals.
    5. Advises and renders opinions to the General Counsel, the Deputy General Counsel and other senior leaders with respect to the legal implications of establishing or changing policy.
    6. Provides high quality, timely and solution-oriented counsel as legal specialist in Oakland on highly complex legal matters, by means of effective research and communication of advice, both written and oral.
    7. Establishes legal and compliance policies and procedures that meet applicable regulatory requirements and tests the operative effectiveness of those policies and procedures and conducts training as needed.
    8. Directly negotiate matters on behalf of The Regents.
    9. Demonstrate and promote appropriate risk tolerance.
    10. Prioritize objectives and ensure service according to those priorities.
    11. Advises officers and senior managers of corporate legal responsibilities.
    12. Serves as point person in OGC to communicate and coordinate with internal clients on contracts and other legal issues.
    13. Delegates work effectively to maximize efficiencies.
    14. Provides clear expectations and mentors legal support staff to establish strong commitment to teamwork and to meet expected levels of productivity and accuracy.
    15. Ensures accurate record keeping in compliance with OGC data quality protocols.
    16. Complies with delegations of authority for committing University funds.

    1. Engages in professional, candid, timely, practical, and respectful communications that are constructive and promote University goals, legal compliance and resolution of issues.
    2. Appropriately disseminates information to the Office of General Counsel attorneys and Legal Practice Support, senior leadership of the University and outside counsel.
    3. Meaningfully contributes toward the success of initiatives of others by providing appropriate legal services (including advice) or deliverables in a timely, accurate, practical and respectful manner.

    5% Resource and Financial Management:

    1. Develops strategic goals and objectives to achieve accountability and efficient stewardship of University resources (operational, financial, and human), in a manner consistent with Systemwide objectives and initiatives.
    2. Comply with record keeping effort designed to monitor resource allocation, including timesheets.
    3. Comply with delegations of authority for contracting, purchasing and committing University funds.
    4. Appropriately delegate work to maximize efficiency of University resources and provide opportunities for growth of the legal staff.
    5. Contribute to the development of quality management data by adhering to OGC data tracking protocols.

    Experience
    Required Qualifications

    1. Minimum of 8 years of deep experience in intellectual property matters, especially negotiating and drafting transactions relating to copyrights, trademarks, and other intellectual property matters.

    Preferred Qualifications

    1. Experience in UC or other university in-house legal counsel.
    2. Experience in private law firm; experience as counsel to public agency; and/or experience with regulatory, administrative or policy-making bodies.
    3. Experience with patent law, including being registered to handle patent matters before the U.S. Patent and Trademark Office.
    4. Advanced skills in project management, and facilitating policy review and changes.
    5. Demonstrated interest in learning new legal disciplines, and the legal and business talent to deploy new knowledge areas with accuracy and efficiency.

    Education

    1. Advanced degree in a related area is required

    SPECIAL CONDITIONS

    The person hired will be required to reside within California and report to work on-site at UC’s Office of the President (UCOP) located in Oakland, CA on a regular basis.  Current policy requires that a new employee work on-site at least two days a week on Tuesdays and Wednesdays (“anchor days”). In exceptional circumstances, approved by the General Counsel, candidates residing in or willing to relocate to California may be considered for a fully remote work arrangement.
